Client / You: Refers to the individual, company, or legal entity accessing or using the Service.
Service(s): Refers collectively to the Website Development, API Development, AI Integration, DevOps Consulting, Cloud Integration, Database Management, and any other services offered by IgateHub as described on our Website or in a formal Project Agreement.
Project: A specific engagement for Services undertaken by IgateHub for a Client, defined by a written proposal, scope of work, or service package.
Deliverables: The specific outputs, including but not limited to, code, designs, documentation, and configured systems, provided by IgateHub to the Client as part of a Project.
Agreement: Refers to these Terms and Conditions, alongside any specific Project Proposals, Statements of Work, or Service Agreements signed or agreed upon by both IgateHub and the Client.
Intellectual Property (IP): Refers to all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
3. Services Provided IgateHub offers a comprehensive suite of digital transformation services designed to empower businesses, from startups to enterprises. Our core services include, but are not limited to:
Website Development: Crafting bespoke digital presences, from simple landing pages and professional portfolios to complex web applications and e-commerce platforms.
API Development: Designing and building robust Application Programming Interfaces for seamless software communication and third-party integrations.
AI Integration: Embedding Artificial Intelligence and Machine Learning capabilities into business processes for enhanced intelligence, automation, and predictive insights.
DevOps Consulting: Streamlining software development and IT operations for faster, more reliable, and secure software delivery.
Cloud Integration: Guiding businesses through seamless migration, deployment, and optimization of applications on leading cloud platforms (AWS, Google Cloud, Azure).
Database Management: Designing, optimizing, and maintaining secure and high-performing databases for critical business data.
Details for each service are further outlined on our Website. The specific scope of Services for any Project will be detailed in a separate Project Proposal or Statement of Work.
4. Pricing and Payment Terms Our service pricing is structured to provide clarity and value across different business needs.
a. Pricing Plans: We offer the following primary pricing plans for our Project-based Services:
Digital Starter Kit: A one-time fixed project fee (e.g., NGN 150,000) for a highly focused 1-2 page website solution.
Digital Launchpad: A one-time fixed project fee (e.g., NGN 450,000) for a more comprehensive custom website.
Business Accelerator: A one-time fixed project fee (e.g., NGN 1,800,000) for advanced custom web applications and essential integrations.
Enterprise Innovation: Pricing is provided via a Custom Quote based on the extensive scope and complexity of the project.
Expert Support & Evolution: Offered on a Monthly Retainer basis (from NGN 250,000 / Month) or for ad-hoc consultation at an hourly rate (e.g., NGN 85,000 / Hour), covering ongoing support, maintenance, and expert guidance.
b. Currency: All prices and payments are quoted and processed in Nigerian Naira (NGN) unless otherwise explicitly agreed upon for international clients.
c. Payment Schedule:
For Project-based Services (Digital Starter Kit, Digital Launchpad, Business Accelerator), a non-refundable upfront deposit (typically 50% of the total project fee) is required to commence work. The remaining balance will be structured into milestone payments or due upon project completion and client acceptance, as detailed in your specific Project Agreement.
For "Expert Support & Evolution" monthly retainers, payment is due at the beginning of each service period. Ad-hoc hourly services are billed as agreed.
d. Late Payments: Invoices not paid by the due date may be subject to a late payment charge of [e.g., 5%] per month or the maximum permissible by law, whichever is lower, on the outstanding balance, calculated from the due date until full payment is received. Services may be suspended or terminated for overdue payments.
e. Refunds: Due to the custom nature of our digital services, fees paid for Services rendered are generally non-refundable. Any refund eligibility will be explicitly stated in your Project Agreement (e.g., a pro-rated refund for early termination of a retainer, if applicable).
5. Client Responsibilities To ensure the successful and timely completion of any Project, the Client agrees to:
Provide all necessary information, content (text, images, logos), data, and access credentials (where required) promptly. Delays in providing these materials may impact project timelines.
Provide timely feedback and approvals at various project stages as requested by IgateHub.
Make payments according to the agreed schedule.
Designate a single point of contact for project communications.
Obtain all necessary licenses, permissions, and consents for any third-party content or tools provided by the Client for use in the Project.
Ensure that all content provided to IgateHub for integration into the Deliverables complies with all applicable laws and does not infringe on any third-party rights.
6. IgateHub's Responsibilities IgateHub commits to:
Perform Services with professional diligence and skill, in accordance with industry best practices.
Communicate regularly and transparently on project progress, challenges, and proposed solutions.
Deliver Services and Deliverables in accordance with the agreed-upon scope, quality standards, and timelines outlined in the Project Agreement.
Maintain the confidentiality of Client information as per Section 10.
7. Project Scope and Changes
The scope of each Project will be clearly defined in a detailed Project Proposal or Statement of Work.
Any request for changes to the agreed-upon scope ("Change Request") must be submitted in writing. IgateHub will assess the impact of the Change Request on the project's timeline, cost, and resources, and provide a revised proposal. Work on Change Requests will only commence upon mutual written agreement and payment for the revised scope.
8. Development Process Our typical Project engagement involves phases such as Discovery & Planning, Design & Prototyping, Development & Integration, Testing & Quality Assurance, Deployment, and Post-Launch Support. Specific methodologies (e.g., Agile) and milestones will be outlined in your Project Agreement.
9. Intellectual Property Rightsa. Client Ownership of Deliverables: Upon full and final payment for a Project, IgateHub grants the Client a non-exclusive, worldwide, perpetual license to use, reproduce, modify, and display the final Deliverables (e.g., custom code, unique design elements, specific content) for their intended business purpose. Unless explicitly stated otherwise in the Project Agreement, the Client will own the copyright to the unique elements of the final Deliverables created specifically for them.
b. IgateHub's Tools and Reusable Code: IgateHub retains full ownership of its underlying tools, frameworks, generic code libraries, methodologies, and any third-party software licenses or subscriptions utilized in the development process, which are not custom-developed for the Client. These elements are licensed to the Client for the purpose of operating the Deliverables.
c. Client Provided Content: The Client warrants that they own or have the necessary licenses, rights, consents, and permissions to use all content, materials, and intellectual property provided to IgateHub for the Project. The Client agrees to indemnify IgateHub against any claims arising from the use of such provided content.
d. Portfolio Rights: The Client grants IgateHub the right to display the completed Project in its portfolio, on its Website, and in marketing materials for promotional purposes, unless otherwise explicitly agreed in writing (e.g., for highly confidential projects, an anonymized description may be used).
10. Confidentiality Both IgateHub and the Client agree to keep confidential all non-public information, materials, and data (including but not limited to trade secrets, business plans, client lists, and technical specifications) shared between them during the course of a Project, except as required by law or with prior written consent. This obligation of confidentiality shall survive the termination of any Project.
11. Warranties and Disclaimersa. IgateHub Warranty: IgateHub warrants that the Services will be performed in a professional manner in accordance with generally accepted industry standards. For specific Deliverables, IgateHub provides a limited warranty period (as stated in your Project Agreement, e.g., 1-3 months post-deployment) during which it will fix any bugs or errors directly attributable to IgateHub's work at no additional charge.
b. General Disclaimer: Except as expressly provided herein, the Service and all Deliverables are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. IgateHub does not warrant that the Service will be uninterrupted, secure, or error-free.
c. Outcomes Disclaimer: While IgateHub strives to deliver high-quality solutions designed to meet Client objectives, we do not guarantee specific business outcomes, such as increased sales, website traffic, or specific market share, as these are dependent on various factors beyond our control.
12. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall IgateHub, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
In no event shall IgateHub’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you to IgateHub for the specific Services related to the claim in the twelve (12) months preceding the claim.
13. Indemnification You agree to defend, indemnify, and hold harmless IgateHub and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) any content you provide to us (including content that infringes upon the rights of third parties).
14. Termination We may terminate or suspend your access to our Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account or ongoing service, you may do so as per the terms outlined in your specific Project Agreement or by ceasing use of the Website. Termination of a Project agreement is subject to the specific clauses within that agreement (e.g., payment for work rendered up to termination date).
15. Governing Law and Jurisdiction These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Abuja, Federal Capital Territory, Nigeria, for the resolution of any disputes arising out of or relating to these Terms or the Services.
16. Dispute Resolution In the event of any dispute or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter amicably through good faith negotiation. If a resolution is not achieved within [e.g., 30] days of the initial notification of dispute, the parties may consider mediation or, failing that, pursue legal remedies available under the laws of the Federal Republic of Nigeria.
17. Changes to These Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
18. Severability If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
19. Entire Agreement These Terms constitute the entire agreement between IgateHub and you regarding our Service, and supersede and replace any prior agreements, oral or otherwise, regarding the Service.
